Terms and Conditions

1. INTRODUCTION AND ACCEPTANCE OF TERMS

The Platform is owned and operated by Data State Ltd., a company incorporated under the laws of Bangladesh, and is made available through the domain bhokto.com.bd.

These Terms and Conditions govern your use of the Bhokto platform, including all websites, mobile applications, and related services made available by Bhokto. By accessing or using the Platform, creating an account, subscribing to a Creator, purchasing digital products, uploading content, or engaging with any service or feature provided by Bhokto, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, you must discontinue use of the Platform immediately.

Bhokto operates as a subscription‑based creator platform that enables Creators to publish and monetize their content, and enables Subscribers to access such content through paid subscriptions or digital purchases. Bhokto provides the technical infrastructure required for hosting, payment facilitation, analytics, delivery of digital content, and related services, but does not supervise, endorse, or control the content published by Creators.

We may update or revise these Terms to reflect legal, operational, or policy changes. Any material updates will be communicated through the Platform or via electronic communication, and your continued use of the Platform after such updates constitutes acceptance of the revised Terms.

2. DEFINITIONS

For the purposes of these Terms, "Account" refers to the user profile you create on the Platform. "Creator" means a user who publishes or monetizes content or digital products on Bhokto. "Subscriber" or "Fan" means a user who purchases access to content through subscriptions or digital products. "Content" refers to all forms of digital material uploaded or shared by Creators. "Digital Products" refers to downloadable or access‑based content made available for purchase. "Subscription" means a recurring paid arrangement that grants a Subscriber access to specified content. "Services" refers to all features and functionalities offered by Bhokto. "Platform" means the Bhokto website, application, and associated systems. "Payout" means the disbursement of cleared earnings to a Creator. "Wallet" or "Balance" refers to the internal ledger maintained by Bhokto showing processed or pending earnings. "Chargeback" means a payment reversal initiated by a financial institution. "KYC" and "AML" refer to identity verification and anti‑money laundering compliance requirements. "Third‑Party Service Provider" means any external partner assisting Bhokto, including payment processors and hosting providers. "Bangladesh Law" refers to the applicable laws and regulations in the jurisdiction of the People's Republic of Bangladesh. "Force Majeure Event" has the meaning set out in Clause 17.

3. LEGAL STATUS AND REGULATORY DISCLAIMER

Bhokto operates as an online platform that enables Creators to publish, distribute, and monetise digital content, and enables Subscribers to obtain access to such content through purchased subscriptions or digital products. Bhokto provides technical infrastructure, hosting, payment facilitation, and related services but does not exercise editorial control over Creator content, nor does it participate in the creation or curation of such material.

Nothing in these Terms shall be interpreted as classifying Bhokto as a bank, financial institution, payment service provider, investment intermediary, escrow agent, trustee, custodian, or deposit‑taking entity under any applicable law. Although Bhokto may receive and temporarily hold funds for the limited purpose of processing payments and facilitating payouts, such holding does not create any fiduciary or trust‑based relationship between Bhokto and any User.

Payments made through the Platform constitute voluntary payments for digital access and do not represent deposits, investments, loans, or financial instruments of any kind. Bhokto does not guarantee or imply any financial return, level of revenue, subscriber growth, or commercial success for Creators. All earnings and subscriber activity depend solely on the Creator's content and its reception by Subscribers.

The regulatory framework applicable to digital marketplaces and subscription‑based platforms continues to evolve. Compliance obligations relating to taxation, digital services, AML/KYC, cybersecurity, data protection, and consumer protection may apply to certain activities carried out on the Platform. Where changes in law or regulatory directives require Bhokto to modify, suspend, or discontinue any feature or functionality, such actions shall not constitute a breach of these Terms, and Bhokto shall not be liable for any resulting loss.

4. ELIGIBILITY AND ACCOUNT REGISTRATION

Use of the Platform is limited to individuals who have reached the age of eighteen years and are legally competent to enter into binding obligations under the laws of Bangladesh. By creating an account, a User represents that they meet these eligibility requirements. All information provided during registration including, but not limited to, identity details, contact information, and payment credentials, must be accurate and kept up to date. Users are responsible for maintaining the confidentiality of their login credentials and for all activities conducted through their accounts.

Creators and Subscribers must each maintain a single account unless expressly permitted otherwise by Bhokto. Creating an account on behalf of another individual or entity without proper authorisation is prohibited. Any unauthorised use, impersonation, or misrepresentation may result in immediate suspension or termination of access.

Bhokto may require Users, particularly Creators, to undergo identity verification prior to accessing revenue‑related features or receiving payouts. Verification may involve submission of identity documents, proof of address, or any other information reasonably required to comply with AML, KYC, or risk‑management obligations. Failure to complete verification or providing misleading information may result in account restrictions, delayed or withheld payouts, or termination.

Users must promptly update any changes to their registration information. Bhokto shall not be responsible for losses arising from outdated, inaccurate, or incomplete information. Bhokto reserves the right to decline, suspend, or terminate any account where necessary to protect the integrity and lawful operation of the Platform or to comply with legal or regulatory obligations.

5. PLATFORM SERVICES

Bhokto provides a digital platform that enables Creators to publish, distribute, and monetise digital content, and enables Subscribers to access such content upon payment of applicable subscription fees or charges for digital products. The Platform functions as a technical intermediary, offering hosting, content delivery, payment facilitation, subscription management, analytics, and communication features that support interaction between Creators and Subscribers. Bhokto does not oversee or verify the accuracy, quality, or reliability of the content uploaded by Creators, and all such content remains the sole responsibility of the Creator providing it.

Creators may offer subscription‑based access to exclusive or premium content. Subscription access is managed through the Platform, and payments are processed using the billing cycle set at the time of purchase. Subscriptions renew automatically unless cancelled by the Subscriber, and Creators retain full discretion over the format, frequency, and nature of the content they choose to deliver. Bhokto is not responsible for the expectations a Subscriber may have regarding the quantity or quality of content made available by any Creator.

The Platform may also support the sale of digital products. Any such transaction constitutes a direct relationship between the Creator and the Subscriber, with Bhokto acting solely as the technical facilitator of payment and delivery. Creators are solely responsible for ensuring that digital products are accurately described, lawfully offered, and properly delivered.

The availability of Platform features and content delivery may be subject to technical limitations, maintenance requirements, system updates, third‑party service interruptions, or other operational constraints. Bhokto may modify or suspend Platform functions where necessary for security, legal compliance, or operational integrity. Bhokto does not guarantee uninterrupted access to the Platform or to any content or features made available through it.

Users must comply with all Platform rules, guidelines, and policies as updated periodically. Bhokto may monitor and review activity on the Platform in order to maintain safety, comply with applicable laws, and ensure the smooth functioning of services. Bhokto retains sole discretion to take actions necessary to preserve the proper operation of the Platform, including limiting access or removing features where required.

6. CREATOR OBLIGATIONS

Creators are solely responsible for all content they upload or make available through the Platform and warrant that such content is lawful, accurate, and free from infringement of intellectual property rights or other proprietary interests. By using the Platform, Creators confirm that they possess all rights and permissions necessary to publish and monetize the content they provide, and that their activities comply with applicable law.

Creators must clearly communicate the nature and scope of the content or benefits offered through subscriptions or digital products and must make reasonable efforts to deliver those offerings to Subscribers in a timely manner. Failure to deliver promised content or products may result in subscriber disputes, refund claims, or corrective actions by Bhokto. All content provided by Creators must comply with Bhokto's content standards, community guidelines, and acceptable use policies. Content that is unlawful, harmful, deceptive, abusive, defamatory, or otherwise inappropriate may result in account restrictions or termination.

Creators are required to comply with all applicable tax, business, and reporting obligations arising from their earnings on the Platform. They may not engage in practices that artificially manipulate engagement, subscriber counts, or payment activity, nor may they deceive or defraud Subscribers or third‑party payment providers. Where Bhokto has reason to believe that a Creator has engaged in fraudulent activity, misrepresentation, or conduct that violates these Terms, it may withhold or delay payouts, restrict account features, or take such other actions as it considers necessary to address the risk.

Creators must treat Subscribers respectfully and must not misuse subscriber information or attempt to solicit payments or transactions outside the Platform. Any attempt to circumvent the Platform's payment systems undermines the integrity of the marketplace and may result in termination of access. Creators must cooperate with Bhokto in the resolution of subscriber disputes, refund requests, chargeback claims, compliance reviews, or content‑related investigations. Failure to cooperate may result in withheld funds or limitation of account privileges.

7. FAN AND SUBSCRIBER OBLIGATIONS

Subscribers must ensure that all payment information associated with their Account is accurate and kept up to date. By initiating a subscription or purchasing digital products through the Platform, a Subscriber authorizes Bhokto to process all corresponding charges in accordance with the billing cycle or pricing presented at the time of purchase. Subscriptions renew automatically unless cancelled in accordance with the procedures provided on the Platform. Cancelling a subscription prevents future charges but does not entitle the Subscriber to refunds for past billing periods or for ongoing access beyond the cancellation date.

A Subscriber's access to content is limited strictly to personal, non‑commercial use. Subscribers may not copy, record, distribute, reproduce, or otherwise share any Creator content outside the Platform, nor may they make content available to others in any format. Any unauthorised use of Creator content is a violation of these Terms and may result in suspension or termination of the Subscriber's Account.

Subscribers must conduct themselves respectfully in all interactions on the Platform. Harassing, abusive, discriminatory, or harmful behavior towards Creators or other Users is prohibited. Subscribers must not use the Platform to engage in unlawful activities, spam, solicitation, or any other misuse of communication features provided by the Platform.

Refund requests may be considered only in exceptional circumstances and remain entirely at Bhokto's discretion. Refunds may be denied where a Subscriber has accessed content during the billing period, except where a payment error, unauthorized transaction, or verified Creator fraud has occurred. Subscribers acknowledge that initiating false or abusive chargebacks may result in account restrictions and financial liability for losses incurred by Bhokto or Creators.

Subscribers may not solicit Creators for off‑platform payments or attempt to conduct transactions outside the Platform. Any behavior that circumvents Bhokto's payment systems undermines the integrity of the Platform and may result in account suspension. Subscribers bear full responsibility for ensuring that their Account information remains accurate and updated.

8. FINANCIAL TERMS

Payments made through the Platform are processed exclusively through the payment channels integrated by Bhokto and are considered received only once fully authorized and settled into Bhokto's designated account. Transactions that are pending, reversed, disputed, or not yet settled do not constitute received funds. Amounts displayed in a Creator's balance represent provisional ledger entries for internal accounting purposes and do not represent deposits, escrowed amounts, or custodial holdings of any kind. Bhokto may withhold or delay funds as necessary for settlement verification, fraud prevention, compliance review, or risk‑based assessment.

Creators are eligible for payout only after Bhokto has completed all verification and compliance checks to its satisfaction. Payouts are made according to the payout schedule published by the Platform and are issued net of all applicable fees, deductions, refunds, chargebacks, penalties, and statutory requirements. Bhokto is not responsible for payout delays arising from inaccurate payout information supplied by a Creator, or from failures or delays caused by banks, MFS providers, card networks, or other third‑party intermediaries.

Bhokto may revise its fee structure from time to time, and any changes take effect upon publication or notice on the Platform. Continued use of the Platform after such changes constitutes acceptance of the revised fees. Creators acknowledge that chargebacks, reversals, or related disputes initiated by Subscribers may result in deductions from their balance or future payouts. Where a Creator's balance is insufficient to cover such deductions, the Creator remains personally liable for the outstanding amount and must reimburse Bhokto upon request.

Creators are solely responsible for complying with all applicable tax obligations arising from their earnings on the Platform. Bhokto may withhold or remit taxes where required by law. Bhokto is not responsible for currency conversion fees, exchange‑rate fluctuations, international settlement delays, or any financial losses caused by such circumstances.

9. AML AND KYC COMPLIANCE

Bhokto implements identity verification and compliance measures to satisfy anti‑money‑laundering, counter‑terrorism‑financing, and fraud‑prevention requirements. Users acknowledge that access to certain Platform features, including the ability for Creators to receive payouts, may depend on successful completion of identity verification procedures. Such verification may require submission of government-issued identification, proof of address, payout information, or other documentation reasonably necessary to authenticate identity or assess risk. Users represent that all information they provide is accurate, complete, and up to date, and they agree to update such information promptly if it changes.

Bhokto monitors transactions conducted through the Platform for irregular, suspicious, or unlawful activity. If Bhokto identifies behaviour that appears inconsistent with normal platform use or suggests possible fraud, deception, money laundering, or other illegal conduct, it may restrict account activity, suspend payouts, freeze funds, or limit access to services while such behaviour is reviewed. The User agrees to cooperate fully in any compliance assessment or investigation and acknowledges that failure to do so may result in account suspension or termination.

Where required or permitted under applicable law, Bhokto may report suspicious activity, transactions, or conduct to law enforcement agencies, financial intelligence units, regulatory bodies, or other competent authorities. Such reporting may occur without prior notice to the User. Users understand that Bhokto's decisions on compliance matters may be based on legal obligations and risk considerations that cannot always be disclosed in full. Bhokto may decline to open an account, restrict an active account, or terminate access entirely if a User fails to meet verification requirements or if continuing to provide services would create legal, regulatory, or operational risk.

10. INTELLECTUAL PROPERTY RIGHTS

Creators retain ownership of all content they upload or make available through the Platform, provided that such content is original or lawfully licensed by them. By submitting content, the Creator warrants that they have all necessary rights and permissions to publish, distribute, and monetize the content and that doing so does not infringe the intellectual property, privacy, or proprietary rights of any third party. The Creator is solely responsible for ensuring that all content meets applicable legal requirements and complies with Platform standards.

By uploading content to Bhokto, the Creator grants Bhokto a limited, non‑exclusive, worldwide, royalty‑free license to host, store, transmit, display, and deliver the content to Subscribers who are entitled to access it, as well as to make any technical modifications required for hosting or distribution. This license is granted solely for the purpose of operating and improving the Platform and does not transfer ownership of the content to Bhokto or authorize Bhokto to commercially exploit the content beyond the Platform.

Subscribers who access content through the Platform receive only a personal, limited, revocable license to view the content in accordance with their subscription or purchase. Subscribers may not copy, reproduce, record, redistribute, or otherwise share content outside the Platform. Any unauthorized use of content violates these Terms and may result in termination of access or other corrective action, including reporting misconduct to relevant authorities.

The Platform, including its software, design, trademarks, interfaces, and all associated intellectual property, belongs exclusively to Bhokto or its licensors. Users may not reproduce, modify, reverse‑engineer, or create derivative works from any part of the Platform without prior written consent.

If a rights holder believes that content on the Platform infringes their rights, they may submit a notice to Bhokto identifying the infringing material. Bhokto may remove or restrict access to the content in question pending review and may request additional information from the Creator. A Creator who believes their content was removed in error may submit a counter‑notification for Bhokto's consideration.

11. ACCEPTABLE USE AND COMMUNITY GUIDELINES

Users must use the Platform in a lawful, responsible, and respectful manner at all times. The Platform may not be used for any purpose that violates applicable law or infringes upon the rights, privacy, or safety of others. Users must not upload, share, or engage with content that is harmful, abusive, defamatory, misleading, obscene, or otherwise inappropriate, nor may they engage in conduct that disrupts the orderly and secure functioning of the Platform.

Users are prohibited from attempting to bypass, disable, or interfere with any security, technical, or operational feature of the Platform, including attempting to gain unauthorized access to accounts, systems, or data. Users must not impersonate others, misrepresent their identity, or engage in activity that deceives or harms other Users. Harassment, threats, discrimination, or any form of abusive interaction toward Creators, Subscribers, or others is strictly prohibited.

Creator Content accessible through the Platform may only be viewed through authorized means and may not be recorded, copied, reproduced, distributed, or shared without the explicit permission of the Creator. Any attempt to redistribute or monetize Creator Content outside the Platform violates these Terms and may result in immediate account termination.

Users are expected to comply with all Platform policies, including content standards and safety guidelines. Bhokto reserves the right to monitor use of the Platform and to take such action as it considers necessary to preserve integrity, safety, and compliance, including restricting access, removing content, suspending accounts, or reporting conduct to appropriate authorities. Bhokto's decisions regarding enforcement of these guidelines shall be final.

12. ACCOUNT SUSPENSION AND TERMINATION

Bhokto may suspend, restrict, or terminate a User's account where it determines that such action is necessary to protect the security, integrity, or lawful operation of the Platform, or where the User has violated these Terms or engaged in conduct that is fraudulent, harmful, unlawful, or otherwise incompatible with proper use of the Platform. Suspension or termination may occur with or without prior notice, depending on the seriousness or urgency of the circumstances.

During any suspension, a User may be prevented from accessing their account, interacting with Platform features, receiving payouts, or engaging in any activity ordinarily available to them. Bhokto may freeze or delay the release of funds while an investigation is underway. If an account is terminated, all rights of access to the Platform cease immediately, and Bhokto may remove or restrict access to any associated content or account information. Bhokto may also withhold or reverse funds where necessary to address chargebacks, disputes, refunds, penalties, or any outstanding obligations associated with the User's conduct.

Users may request closure of their own accounts at any time through the available mechanisms on the Platform. Account closure does not relieve the User of obligations incurred prior to closure, including obligations related to refunds, taxes, cooperation during dispute resolution, or outstanding liabilities. Creators seeking to close their accounts must ensure that all subscriptions, pending digital products, and ongoing commitments to Subscribers are fulfilled or properly terminated.

Bhokto may retain certain information following suspension or termination where required for legal, regulatory, AML/KYC, tax, or record‑keeping purposes. Termination of an account does not affect the survival of any provisions of these Terms that are intended to continue in force, including those relating to intellectual property, indemnity, limitation of liability, dispute resolution, and data retention.

13. DISCLAIMERS AND LIMITATION OF LIABILITY

The Platform and all services, features, and content made available through it are provided on an "as is" and "as available" basis. Bhokto does not guarantee that the Platform will operate without interruption, delay, error, or technical malfunction, nor does it guarantee that content or features will remain accessible at all times. Users acknowledge that the proper functioning of the Platform depends on various external systems such as hosting providers, payment processors, mobile financial service partners, telecommunications networks, and cloud infrastructure, and that disruptions arising from these external systems are outside Bhokto's control.

Bhokto neither reviews nor verifies the accuracy, legality, or reliability of content uploaded by Creators. All interactions between Creators and Subscribers, including fulfilment of subscription benefits and delivery of digital products, occur directly between those parties. Bhokto bears no responsibility for a Creator's failure to deliver promised content or to meet expectations regarding quality, frequency, or availability. Users access Creator content at their own risk and are responsible for determining its suitability.

To the maximum extent permitted by law, Bhokto shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising from the use or inability to use the Platform, including any loss of income, profit, data, goodwill, business opportunity, content access, or anticipated earnings. Bhokto shall not be responsible for losses arising from unauthorized access to a User's account, including access obtained through compromised credentials, phishing attempts, or negligence by the User.

Bhokto does not guarantee that Creators will earn any particular income level or achieve any commercial success. Nothing on the Platform constitutes financial, legal, business, or professional advice. Users are solely responsible for evaluating any statements or content provided by others on the Platform.

In all cases in which Bhokto may be found liable under applicable law, Bhokto's total cumulative liability to any User shall not exceed the total amount of platform fees actually received from that User during the three months preceding the event giving rise to the claim, or the equivalent of one hundred United States dollars, whichever is lower. No limitation contained in this clause shall apply to the extent prohibited by law. All disclaimers and limitations set out in this clause shall survive termination of a User's account.

14. INDEMNIFICATION

Users agree to indemnify, defend, and hold harmless Bhokto and its officers, employees, affiliates, service providers, and partners from any claims, losses, damages, liabilities, costs, and expenses arising from their use of the Platform or any breach of these Terms. This obligation extends to any disputes, actions, or claims resulting from the User's content, conduct, or transactions carried out on or through the Platform.

Creators specifically agree to indemnify Bhokto in relation to any claim arising from their published content, including claims involving intellectual property infringement, privacy violations, unlawful or misleading representations, or failure to deliver subscription content or digital products as described. Creators further agree to indemnify Bhokto for losses arising from chargebacks, fraudulent transactions, misuse of funds, or any violation of applicable tax or regulatory obligations.

Subscribers agree to indemnify Bhokto for any claim arising from misuse of Creator content, including unauthorized copying, distribution, recording, or sharing of content, as well as for fraudulent payment activity, abusive chargebacks, or harmful conduct directed toward Creators or other Users.

Users must cooperate fully with Bhokto in responding to any claim, investigation, or legal process arising from their actions or content. This may include providing information, documentation, and explanations reasonably necessary for Bhokto to assess or respond to such matters. Failure to cooperate may result in account suspension, withheld funds, or any other action Bhokto considers appropriate. The indemnification obligations under this clause continue in force even after the termination of a User's account.

15. DISPUTE RESOLUTION

These Terms and any dispute arising from or relating to the Platform or its use shall be governed by the laws of the People's Republic of Bangladesh. Users agree that the courts of Dhaka shall have exclusive jurisdiction over all disputes, except where Bhokto determines that interim, injunctive, or equitable relief is required to protect its rights, content, systems, or Users, in which case such relief may be sought in any competent forum.

Users must first notify Bhokto in writing of any dispute and allow a reasonable period for Bhokto to review and attempt resolution through good‑faith discussions. If the dispute cannot be resolved informally, either party may commence legal proceedings in accordance with this clause. Disputes may, by mutual written consent of the parties, be referred to arbitration under the Arbitration Act, 2001. Any such arbitration shall take place in Dhaka before a sole arbitrator, be conducted in English, and the resulting award shall be final and binding.

Disputes between Users, including those relating to subscription obligations, digital products, content expectations, or conduct, must be resolved directly between the Users concerned. Bhokto is not a party to such disputes and assumes no obligation to mediate, intervene, or resolve them. However, Bhokto may, at its discretion, take measures necessary to protect its systems, including freezing funds or limiting access, without assuming any liability for the underlying dispute. All commitments under this clause survive suspension or termination of a User's account.

16. DATA PROTECTION AND PRIVACY

Bhokto collects and processes personal information only as necessary for the operation, security, and lawful administration of the Platform. By using the Platform, Users consent to the collection and use of information such as identity details, contact information, device data, transaction records, and communications, in accordance with these Terms and the Privacy Policy. Such information may be used for account management, identity verification, content access, payment facilitation, fraud prevention, Platform improvement, and legal or regulatory compliance.

Bhokto adopts commercially reasonable technical and organizational measures to safeguard User data from unauthorized access, disclosure, alteration, or loss. However, Users acknowledge that no online system can be guaranteed entirely secure, and Bhokto cannot be held liable for breaches arising from circumstances beyond its reasonable control, including breaches resulting from a User's own security practices or device vulnerabilities.

User data may be retained for as long as necessary to meet the purposes for which it was collected or as required by law, including compliance with AML/KYC requirements, tax regulations, law enforcement requests, or Platform security protocols. Certain records, including identity documents, transaction logs, and compliance information, may therefore be retained for extended statutory periods.

Bhokto may share personal data with third‑party service providers supporting Platform operations, such as payment processors, banks, mobile financial service partners, hosting providers, analytics services, and professional advisers. These parties are required to process data securely and solely for the purposes for which it is shared. Bhokto may also disclose User data to law enforcement bodies, courts, regulators, or other competent authorities where legally required or where necessary to protect its rights or the safety of Users.

Users may request access to the personal information held by Bhokto or request corrections where legally permitted. Such rights may be limited where data must be retained for legal compliance, fraud prevention, dispute resolution, or other overriding interests. Use of cookies, analytics tools, and similar technologies forms part of the Platform's functionality. Some cookies may be disabled through browser settings, although doing so may impair performance or restrict access to certain features. Use of third‑party websites accessible through links on the Platform is undertaken at the User's own risk, and Bhokto bears no responsibility for the privacy practices of such sites.

The Privacy Policy forms an integral part of these Terms. In the event of any inconsistency, these Terms shall prevail to the extent necessary to resolve the conflict.

17. FORCE MAJEURE

Bhokto shall not be responsible for any delay, failure, or interruption in performing its obligations under these Terms where such delay or failure results from circumstances beyond its reasonable control. Such circumstances may include natural disasters, acts of God, fire, flood, war, civil unrest, strikes, public health emergencies, government restrictions, sudden changes in law or regulatory directives, or any other events of a similar nature. They may also include failures or disruptions affecting electricity, telecommunications networks, server infrastructure, hosting services, payment processors, card networks, mobile financial service providers, or any other third‑party systems that the Platform relies upon for its operation.

During the period in which a force majeure event continues, Bhokto's obligations shall be suspended to the extent necessary, and Bhokto shall not be considered in breach of these Terms. Although Bhokto may attempt to notify Users of the occurrence of a force majeure event, it shall not be liable for failing to provide notice where circumstances render such notice impracticable.

Once the force majeure event ends, Bhokto shall resume performance of its obligations as soon as reasonably practicable. Bhokto is not required to perform obligations that could not be fulfilled during the period of disruption, and any modification, suspension, or discontinuation of features or services resulting from force majeure shall not give rise to any liability. Where force majeure arises from legal or regulatory changes, Bhokto may implement any adjustments necessary to ensure compliance, including suspending payouts or limiting access to certain Platform features.

18. NOTICES

Bhokto may communicate with Users regarding these Terms or any aspect of their use of the Platform through electronic means, including email, SMS, in‑app notifications, or notices posted on the Platform. Any communication delivered through such methods shall be deemed received once transmitted or published, provided that no system‑level error is returned. Users are responsible for maintaining accurate and up‑to‑date contact information in their accounts and acknowledge that failure to do so may result in missed notices for which Bhokto shall bear no responsibility.

All notices or communications are to be addressed to Data State Ltd., the operator of the Platform, using the contact channels specified on bhokto.com.bd, which may include designated email addresses or other communication methods indicated from time to time. Bhokto may require Users to verify their identity before responding to notices related to sensitive matters, such as account access or financial transactions. All notices exchanged under these Terms must be in English unless Bhokto expressly agrees otherwise.

Users acknowledge that electronic communication is a reliable and commercially reasonable method for providing notices under these Terms. Bhokto shall not be liable for delays in transmission arising from technical failures beyond its control, including email service disruptions, telecommunications outages, or internet instability.

19. MISCELLANEOUS PROVISIONS

These Terms constitute the entire agreement between Bhokto and the User concerning the use of the Platform and supersede all prior understandings, representations, or agreements, whether written or oral, relating to the same subject matter. No User may rely on any statement, promise, or representation not expressly contained herein. Any failure or delay by Bhokto in exercising or enforcing its rights under these Terms shall not be construed as a waiver of such rights, nor shall any single or partial exercise of a right operate to prevent further exercise of that right or any other right. No waiver shall be valid unless made in writing and issued by an authorised representative of Bhokto.

If any provision of these Terms is held invalid or unenforceable by a competent authority, such provision shall be enforced to the fullest extent permitted by law, and the remaining provisions shall continue in full force and effect. Nothing in these Terms shall create or be deemed to create any partnership, joint venture, employment, fiduciary, or agency relationship between Bhokto and any User. All Users act as independent parties, and Bhokto's relationship with Users is limited to the provision of Platform services.

Bhokto may assign or transfer its rights or obligations under these Terms, whether in whole or in part, to any affiliated entity, successor, or third party in connection with a merger, acquisition, corporate restructuring, or transfer of assets, without requiring prior consent from the User. Users may not assign their rights or obligations without Bhokto's written consent. These Terms shall bind and benefit each party and its permitted successors and assigns.

Clause headings are included solely for convenience and shall not affect the interpretation of any provision. Any provision that, by its nature, is intended to survive termination of a User's account, including those relating to intellectual property, indemnity, limitation of liability, dispute resolution, data retention, and compliance, shall continue in effect notwithstanding the termination or suspension of access to the Platform.
